Terms of Service

These Terms of Service constitute a legally binding agreement between you and QIOSK Marketplace ("we", "us", or "our"), governing your access to and use of the QIOSK Marketplace platform, including our website, marketplace, AI Studio, and all associated services. By registering an account, accessing the platform, or using any QIOSK Marketplace service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the QIOSK Marketplace platform. These Terms apply to all users of the platform, including vendors, retailers, customers, and visitors.

These Terms of Service apply to all individuals and entities who interact with the QIOSK Marketplace platform, including:

• Vendors who register on QIOSK Marketplace to list, manage, and sell their products through the marketplace
• Retailers who access vendor catalogues, build storefronts, and sell products to end customers
• Customers who place orders through retailer storefronts powered by QIOSK Marketplace
• Visitors who browse the QIOSK Marketplace website or platform without a registered account
• Users of the QIOSK Marketplace AI Studio tool for image generation and marketing campaign creation
• Retailers who connect third-party social media accounts (Meta/Facebook, Instagram, TikTok, Twitter/X, YouTube) to the platform

QIOSK Marketplace operates as a multi-sided digital marketplace connecting vendors, retailers, and customers across the United Kingdom. The platform provides the following core services:

To access certain features of the QIOSK Marketplace platform, you must register for an account. By creating an account, you agree to the following:

• You must provide accurate, current, and complete information during the registration process
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify QIOSK Marketplace immediately of any unauthorised access to or use of your account
• You may not share your account with any third party or create accounts on behalf of others without authorisation
• You must be at least 18 years of age or the age of majority in your jurisdiction to create an account
• QIOSK Marketplace reserves the right to suspend or terminate accounts that provide false information or violate these Terms
• Business accounts must be registered by an authorised representative of the relevant legal entity

The QIOSK Marketplace AI Studio is an integrated tool available to retailers for generating product images and developing marketing content. By using AI Studio, you agree to the following conditions:

• You must not submit prompts or inputs that are unlawful, offensive, defamatory, or infringe third-party intellectual property rights
• You are solely responsible for reviewing and ensuring that all AI-generated content is appropriate before publishing or distributing it
• QIOSK Marketplace does not guarantee the accuracy, quality, or suitability of any AI-generated output for any specific purpose
• Generated images and campaign content remain associated with your retailer account and are subject to our data retention practices
• You grant QIOSK Marketplace a non-exclusive licence to process your inputs and store outputs for the purpose of providing the AI Studio service
• QIOSK Marketplace reserves the right to restrict or suspend AI Studio access where misuse is detected or suspected
• AI Studio outputs must not be used to create misleading, harmful, or fraudulent content
• AI Studio outputs published directly to connected social media accounts remain subject to the Social Media Account Connections terms set out below

QIOSK Marketplace allows retailers to optionally connect third-party social media accounts — including Meta (Facebook and Instagram), TikTok, Twitter (X), and YouTube — via each platform's official Application Programming Interface (API), to publish, schedule, and manage marketing content directly from the platform. By connecting any such account, you agree to the following terms:

Vendors registered on the QIOSK Marketplace platform agree to comply with the following obligations when listing and selling products:

Retailers using the QIOSK Marketplace platform to build and operate storefronts agree to the following terms and obligations:

• Retailers must operate their storefronts in compliance with all applicable UK consumer protection and e-commerce laws
• Retailers are responsible for the accuracy of any additional content, pricing, or descriptions they apply to products on their storefronts
• Retailers must not misrepresent vendor products or make claims that are not supported by the vendor's product information
• Retailers are responsible for managing customer relationships, returns, and complaints arising from orders placed through their storefronts
• Retailers agree to pay applicable subscription fees and platform charges on time and in accordance with their selected plan
• Retailers must not use the platform to engage in fraudulent transactions, price manipulation, or anti-competitive behaviour
• Retailers are responsible for ensuring their storefronts comply with data protection obligations when collecting customer information
• Retailers connecting social media accounts must comply with the Social Media Account Connections terms set out in Section 06

All financial transactions conducted through QIOSK Marketplace are subject to the following payment and billing terms:

• Subscription fees are billed in advance on a monthly or annual basis, depending on the selected plan
• All prices are displayed in British Pounds Sterling (GBP) and are inclusive of VAT where applicable
• Payment is processed securely through our third-party payment provider in accordance with PCI DSS standards
• Failed payments may result in temporary suspension of platform access until outstanding amounts are settled
• Refunds for subscription fees are not provided except where required by applicable UK consumer law
• QIOSK Marketplace reserves the right to modify pricing with a minimum of 30 days' written notice to affected users
• Transaction fees applicable to vendor sales will be deducted automatically before disbursement of funds

The QIOSK Marketplace platform and all associated content are protected by intellectual property laws. The following terms apply to intellectual property rights on the platform:

• All QIOSK Marketplace branding, software, designs, and platform features are the exclusive property of QIOSK Marketplace and may not be copied or reproduced without written permission
• Vendors retain ownership of all intellectual property rights in their product content, images, and descriptions uploaded to the platform
• Retailers retain ownership of any original branding and content they create for their storefronts, including content published to connected social media accounts
• By uploading content to QIOSK Marketplace, you grant us a non-exclusive, royalty-free licence to display and distribute that content for platform operational purposes
• You must not use QIOSK Marketplace's trademarks, logos, or branding without prior written authorisation
• Any intellectual property infringement complaints should be submitted to our team using the contact details provided below
• QIOSK Marketplace will respond to valid infringement notices and take appropriate action in accordance with applicable UK law

Users of the QIOSK Marketplace platform must not engage in any of the following prohibited activities:

• Using the platform for any unlawful purpose or in violation of any applicable UK or international law
• Attempting to gain unauthorised access to any part of the platform, other user accounts, or QIOSK Marketplace systems
• Uploading, distributing, or transmitting any malicious software, viruses, or harmful code
• Engaging in fraudulent transactions, chargebacks abuse, or misrepresentation of identity
• Scraping, harvesting, or extracting data from the platform without prior written consent
• Using automated bots, scripts, or tools to interact with the platform in a manner that disrupts normal operations
• Harassing, threatening, or abusing other platform users, vendors, retailers, or QIOSK Marketplace staff
• Circumventing platform fees by arranging transactions outside of the QIOSK Marketplace system
• Connecting a social media account you are not authorised to manage, or using a connected account to publish content that violates the connected platform's policies
• Using social media integrations to spam, mislead, or artificially inflate engagement metrics

To the fullest extent permitted by applicable UK law, QIOSK Marketplace limits its liability as follows:

• QIOSK Marketplace is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform
• We do not guarantee uninterrupted, error-free access to the platform and accept no liability for downtime or service disruptions
• QIOSK Marketplace is not responsible for the accuracy, quality, or legality of products listed by vendors on the platform
• We are not liable for disputes between vendors and retailers, or between retailers and customers, except where directly caused by QIOSK Marketplace's negligence
• QIOSK Marketplace is not liable for any actions, restrictions, or losses arising from third-party social media platforms accessed via API integration, as set out in Section 06
• Our total aggregate liability to any user in connection with these Terms shall not exceed the total fees paid by that user to QIOSK Marketplace in the three months preceding the claim
• Nothing in these Terms limits liability for death, personal injury caused by negligence, or any liability that cannot be excluded under UK law

QIOSK Marketplace reserves the right to suspend or terminate platform access under the following circumstances:

• Where a user materially breaches any provision of these Terms of Service
• Where fraudulent, abusive, or unlawful activity is detected or reasonably suspected
• Where a vendor or retailer fails to meet payment obligations after due notice has been provided
• Where continued access would expose QIOSK Marketplace or other users to legal, reputational, or financial risk
• Where misuse of a connected social media account or violation of a third-party platform's terms is detected
• Users may terminate their own accounts at any time by contacting QIOSK Marketplace support, subject to any outstanding obligations
• Upon termination, access to the platform will cease and data will be handled in accordance with our Privacy Policy
• QIOSK Marketplace will provide reasonable notice before termination except where immediate action is required to prevent harm

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. We encourage users to contact us in the first instance to resolve any disputes informally. Where a dispute cannot be resolved directly, users may also seek assistance from relevant UK consumer protection bodies or alternative dispute resolution services where applicable.

QIOSK Marketplace reserves the right to update or modify these Terms of Service at any time to reflect changes in our platform, business practices, or applicable law. When material changes are made, we will notify registered users by email or via a prominent notice on the platform. Your continued use of QIOSK Marketplace following notification of changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically to stay informed of your rights and obligations.
